Welcome to strategy.new ("Platform", "Service", "we", "us", or "our"). By accessing or using our AI-powered trading strategy platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and strategy.new regarding your use of the Platform. Please read them carefully before using our services.

2. Description of Service

strategy.new is an AI-powered platform that enables users to:

  • Generate trading strategies using natural language descriptions with AI assistance
  • Create, edit, and manage algorithmic trading strategies in Python
  • Backtest strategies against historical market data to evaluate performance
  • Deploy strategies to supported exchanges for live trading (subject to tier limitations)
  • Access real-time and historical market data from integrated exchanges

The Platform executes user-generated code in secure, sandboxed environments. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration and Security

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account or any other security breach

You must be at least 18 years old to create an account and use the Service. We may suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

The Platform offers multiple subscription tiers with varying features and limitations. By subscribing to a paid plan, you agree that:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by applicable law or as expressly stated otherwise
  • We may change pricing with 30 days' notice, effective at your next billing cycle
  • You authorize us to charge your designated payment method for applicable fees
  • Failure to pay may result in suspension or termination of your account

Free tier users are subject to limitations on features, including but not limited to the number of live strategies, historical data access, and backtesting capabilities.

5. User Responsibilities

When using the Platform, you agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
  • Not use the Platform to engage in market manipulation, insider trading, or any other illegal trading activity
  • Ensure your trading strategies comply with applicable securities laws and exchange rules
  • Not attempt to circumvent, disable, or interfere with security-related features of the Service
  • Not upload or transmit malicious code, viruses, or any other harmful content
  • Not reverse engineer, decompile, or attempt to extract the source code of the Platform
  • Not use the Service to compete with strategy.new

6. User-Generated Content and Intellectual Property

Your Content:You retain ownership of all trading strategies, code, and content you create using the Platform ("User Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and execute your User Content as necessary to provide the Service.

Our Content: The Platform, including its design, features, AI models, algorithms, and underlying technology, is protected by intellectual property laws. All rights not expressly granted herein are reserved by strategy.new.

Feedback: Any feedback, suggestions, or ideas you provide regarding the Platform may be used by us without obligation or compensation to you.

7. Exchange Integrations and Third-Party Services

The Platform integrates with third-party exchanges and data providers. When you connect your exchange accounts or use third-party services through the Platform:

  • You acknowledge that your use is also governed by the terms and policies of those third parties
  • You are responsible for complying with all applicable exchange rules and requirements
  • We are not responsible for the availability, accuracy, or reliability of third-party services
  • You authorize us to access your exchange accounts as necessary to execute your strategies

8. Risk Disclosure and Disclaimer of Warranties

IMPORTANT: TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. Trading financial instruments, including cryptocurrencies, involves substantial risk of loss and is not suitable for all investors. Past performance, including backtesting results, is not indicative of future results. The use of algorithmic trading strategies does not guarantee profits and may result in significant financial losses. You should never trade with money you cannot afford to lose.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of any AI-generated content, strategies, or recommendations
  • Warranties that backtesting results will predict future performance

The Platform is an educational and analytical tool. Nothing on the Platform constitutes investment advice, financial advice, trading advice, or any other sort of advice. We strongly recommend consulting with a qualified financial advisor before making any investment decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATEGY.NEW, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any trading losses or financial damages resulting from your use of the Service
  • Any damages arising from unauthorized access to your account or data
  • Any damages arising from third-party services, including exchange outages or errors

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless strategy.new and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable laws or regulations; or (e) your trading activities conducted through the Platform.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • All active deployments and live trading strategies will be stopped
  • You may request export of your User Content within 30 days of termination
  • Sections of these Terms that by their nature should survive termination will survive

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Notice, constitute the entire agreement between you and strategy.new regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
